By accessing or using Ledgable (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service. The Service is operated by Ledgable Pty Ltd (“Ledgable”, “we”, “our”, or “us”).

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a contract under Australian law to use the Service. The Service is intended for use by Australian businesses and their authorised representatives.

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access.

4. Subscription and billing

Subscription fees are charged as per the pricing schedule published at ledgable.co/pricing. Transaction fees apply to specific activities including BAS lodgement and invoice payment processing. Prices are in AUD and GST may apply.

5. Acceptable use

You agree not to use the Service for any unlawful purpose, to violate any applicable laws or regulations, to infringe on the rights of others, or in any manner that could damage, disable, or impair the Service. See also our Acceptable Use Policy at ledgable.co/legal/aup.

6. Data and privacy

Our handling of personal information is governed by our Privacy Policy, available at ledgable.co/legal/privacy. We comply with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles.

7. Intellectual property

The Service and its original content, features, and functionality are owned by Ledgable Pty Ltd and are protected by intellectual property laws. You retain ownership of the data you input into the Service.

8. Limitation of liability

To the maximum extent permitted by Australian law, Ledgable shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our liability is limited to the amount paid by you for the Service in the 12 months preceding the claim.

9. Termination

You may cancel your subscription at any time. We may suspend or terminate your access for breach of these terms. On termination, your data remains exportable for a period specified in our data retention policy.

10. Changes to terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email with at least 14 days notice. Continued use of the Service after the effective date constitutes acceptance of the revised terms.

11. Governing law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
